This initial step sets the strong foundation for the entire agreement by ensuring both parties understand the goals they are working towards.

Outline all roles and responsibilities.

Detail the exact responsibilities of both parties involved in the collaboration. Clearly specify what is expected of who. Talk about tasks, deliverables, and timelines in depth. This section needs to be very comprehensive to avoid any confusion.

Specify intellectual property rights.

This bit is super important. You need to address ownership and usage rights of any intellectual property created or shared during the collaboration. Write out how designs, content, branding materials, and other assets will be used, modified, and distributed. This ensures fair and transparent handling of intellectual property.

Establish terms for termination and dispute resolution.

Include terms for how the collaboration can be terminated including reasons for termination and notice periods needed in this instance. You also need to outline procedures for resolving disputes that could arise during the period of the collaboration, such as arbitration or mediation processes.
